Is a Baya Bar franchisee allowed to use the Marks in any manner they choose?

Baya_Bar Franchise · 2024 FDD

Answer from 2024 FDD Document

The Franchise Agreement grants you the right to use certain trademarks, trade names, service marks, symbols, emblems, logos and indicia of origin designated by us. These Marks may be used only in the manner we authorize and only for the operation of your Franchised Business. The MUDA does not grant to you any right to use the Marks.

You may not use the Marks as a part of your corporate or other legal name, and you must comply with our instructions in filing and maintaining trade name or fictitious name registrations. You must sign any documents we require to protect the Marks or to maintain their continued validity and enforceability. In addition, you may not directly or indirectly contest the validity of our ownership of or our rights in and to the Marks.

What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, franchisees are not allowed to use the Marks in any manner they choose. The Franchise Agreement grants franchisees the right to use Baya Bar's trademarks, trade names, service marks, symbols, emblems, logos, and indicia of origin, but only in a manner authorized by Baya Bar and solely for the operation of the Franchised Business. The MUDA (presumably a misprint for a different agreement) does not grant any rights to use the Marks.

Baya Bar franchisees cannot use the Marks as part of their corporate or legal name and must follow Baya Bar's instructions for trade name or fictitious name registrations. Franchisees must also sign documents to protect the Marks and maintain their validity. They are prohibited from contesting the validity of Baya Bar's ownership or rights to the Marks.

Baya Bar retains rights to the Marks, including granting other licenses, developing other systems using the Marks, and engaging in the production, distribution, and sale of products and services using the Marks. Baya Bar may also require franchisees to discontinue or modify their use of the Marks or to use substitute trade names if it benefits the System. This is a fairly standard practice in franchising, as franchisors need to maintain control over their brand and ensure consistent representation across all franchise locations.
