- Developer agrees that no claims of success or failure have been made to him or her prior to signing this Agreement and that he/she understands all the terms and conditions of this Agreement. Developer further acknowledges that this Agreement contains all oral and written agreements, representations and arrangements between the parties hereto, and any rights which the respective parties hereto may have had under any other previous contracts are hereby cancelled and terminated, and that this Agreement cannot be changed or terminated orally; provided, however, nothing in this Multi-Unit Development Agreement or in any related agreement is intended to disclaim the representations made to Developer in Franchisor's Franchise Disclosure Document.

According to the 2024 Baya Bar Franchise Disclosure Document, the franchisee acknowledges that the Franchise Agreement encompasses all oral and written agreements, representations, and arrangements between the franchisee and Baya Bar. This acknowledgement confirms that any prior contracts are cancelled and terminated. The franchisee also agrees that the Franchise Agreement cannot be changed or terminated orally.
However, there is an exception to this acknowledgement. The franchisee's acknowledgement does not disclaim the representations made to the franchisee in Baya Bar's Franchise Disclosure Document. This means that any claims arising from representations made by Baya Bar in the Franchise Disclosure Document are not waived by the franchisee's acknowledgement.
This acknowledgement is part of the Developer Acknowledgement Statement, which the developer must initial. This statement also includes acknowledgements that the developer conducted an independent investigation, that no claims of success or failure have been made prior to signing, and that the developer has had ample opportunity to consult with advisors.
