What This Means (2024 FDD)
According to the 2024 Baya Bar Franchise Disclosure Document, a franchisee is granted the right to operate their Baya Bar acai shop at a single location within a designated territory. The specific details of the territory's boundaries are outlined in Attachment 3 of the Franchise Agreement. Baya Bar assures that, during the agreement's term, it will not operate or authorize other franchisees to operate a Baya Bar outlet within the franchisee's territory, provided the franchisee remains in compliance with the agreement. However, Baya Bar retains the right to open or franchise Baya Bar locations bordering or adjacent to the franchisee's territory. Franchisees are restricted from actively soliciting customers outside their designated territory, ensuring a degree of market exclusivity within that area.
This territorial agreement offers a Baya Bar franchisee a defined area in which to operate without direct competition from other Baya Bar franchises. However, it's important to note that Baya Bar reserves significant rights, including the ability to operate or franchise locations adjacent to the franchisee's territory. The franchisee is also limited to a single location within the territory, meaning expansion within the territory would require further negotiation and agreement with Baya Bar. The agreement also restricts the franchisee from soliciting customers outside of their territory, which could limit growth opportunities in nearby areas.
Prospective Baya Bar franchisees should carefully review Attachment 3 of the Franchise Agreement to fully understand the size and characteristics of their designated territory. They should also inquire about Baya Bar's criteria for determining territory boundaries and its plans for future expansion in the surrounding areas. Understanding these factors is crucial for assessing the potential market and competition within the territory, and for making informed decisions about the franchise investment. It is also important to understand that Baya Bar retains all rights to businesses other than those specified in the agreement, both inside and outside the territory.
