Developer acknowledges that, pursuant to this Agreement, Developer will receive valuable training, trade secrets and Confidential Information of the System that are beyond the present knowledge, training and experience of Developer.
Developer acknowledges that such specialized training, trade secrets and Confidential Information provide a competitive advantage and will be valuable to him or her in the development and operation of Baya Bar outlets, and that gaining access to such specialized training, trade secrets and Confidential Information is, therefore, a primary reason why Developer is entering into this Agreement.
In consideration for such specialized training, trade secrets, Confidential Information and rights, Developer covenants that, except as otherwise approved in writing by Franchisor:

According to Baya Bar's 2024 Franchise Disclosure Document, a Baya Bar Developer acknowledges that they will receive valuable training, trade secrets, and confidential information of the Baya Bar system that is beyond their present knowledge, training, and experience.
The Developer also acknowledges that this specialized training, trade secrets, and confidential information provide a competitive advantage and will be valuable in the development and operation of Baya Bar outlets. The document states that gaining access to this specialized training, trade secrets, and confidential information is a primary reason for entering into the agreement.
In consideration for receiving this specialized training, trade secrets, confidential information, and rights, the Developer agrees to certain non-competition covenants. These covenants restrict the Developer from engaging in activities that could harm Baya Bar's business, such as diverting customers to competitors or participating in similar businesses featuring acai or smoothies. The Developer also agrees not to perform any act that could be injurious or prejudicial to the goodwill associated with the Baya Bar marks and system.
