What does Baya Bar consider as 'Intellectual Property'?

According to Baya Bar's 2024 Franchise Disclosure Document, the company defines Intellectual Property as its Marks and copyrights, along with its trade secrets, service marks, trade dress, and proprietary systems. Baya Bar and/or its affiliates claim ownership of the Marks and hold the exclusive right to license them to franchisees within the Baya Bar system. These Marks are used by franchisees in accordance with the System. Baya Bar also asserts copyrights on materials used within the System, including its website, documents, advertisements, promotional materials, and the Manual, regardless of whether they have been officially filed with the U.S. Copyright Office.

For a prospective franchisee, this means that Baya Bar maintains tight control over its brand identity and operational methods. Franchisees are granted a license to use the Intellectual Property, but they must adhere strictly to Baya Bar's guidelines. This includes using the Marks correctly in advertising and business operations, as well as following the procedures outlined in the Manual. Baya Bar's ownership of Intellectual Property also means that franchisees cannot take actions that could harm or interfere with the validity of Baya Bar's rights. Upon termination of the Franchise Agreement, the franchisee must immediately cease using the Marks and other Intellectual Property. This ensures that Baya Bar retains exclusive control over its brand and system, even after a franchise relationship ends.
