What This Means (2024 FDD)
According to Baya Bar's 2024 Franchise Disclosure Document, a developer acknowledges they have conducted an independent investigation into the financial, operational, and other aspects of developing Baya Bar outlets. Except for what is stated in the Franchise Disclosure Document, the developer waives any claim against Baya Bar for any business failure they may experience as a developer under the agreement.
This waiver means that the developer is taking on the risk of the business venture. Baya Bar is not responsible for any losses the developer incurs, provided they have not misrepresented information in the FDD. This is a standard practice in franchising, as the franchisee is responsible for their own business's success or failure.
Prospective developers should carefully review the Baya Bar Franchise Disclosure Document and conduct thorough due diligence before signing the agreement. This includes consulting with financial and legal advisors to fully understand the risks and obligations involved. The developer should also ensure that any representations made by Baya Bar are included in the Franchise Disclosure Document to avoid any misunderstandings or disputes later on.
