What This Means (2024 FDD)

According to Baya Bar's 2024 Franchise Disclosure Document, Baya Bar is not liable to the franchisee for any expenses, losses, or damages resulting from modifications to the Marks. Specifically, Baya Bar retains the right to substitute different Marks for use in identifying the System and the Franchised Business, if it determines that doing so will benefit the System.

This means that if Baya Bar decides to change its Marks (logos, slogans, etc.), franchisees must implement those changes. The franchisee is responsible for all costs associated with these changes, such as new signage, marketing materials, and other branded items. The franchisee also agrees not to sue Baya Bar for any expenses, losses, or damages resulting from these changes.

This clause protects Baya Bar from financial responsibility for changes it deems necessary to the brand. It places the financial burden of rebranding or modifying intellectual property squarely on the franchisee. Prospective franchisees should consider this potential cost when evaluating the Baya Bar franchise opportunity.
