  • 8.3 Noncompetition Covenants. Developer acknowledges that, pursuant to this Agreement, Developer will receive valuable training, trade secrets and Confidential Information of the System that are beyond the present knowledge, training and experience of Developer. Developer acknowledges that such specialized training, trade secrets and Confidential Information provide a competitive advantage and will be valuable to him or her in the development and operation of Baya Bar outlets, and that gaining access to such specialized training, trade secrets and Confidential Information is, therefore, a primary reason why Developer is entering into this Agreement.

According to Baya Bar's 2024 Franchise Disclosure Document, the agreement acknowledges that the developer will receive valuable training. Specifically, the developer acknowledges that they will receive valuable training, trade secrets, and confidential information of the Baya Bar system that are beyond their present knowledge, training, and experience.

The agreement states that this specialized training, trade secrets, and confidential information provide a competitive advantage and will be valuable to the developer in the development and operation of Baya Bar outlets. The developer acknowledges that gaining access to such specialized training, trade secrets, and confidential information is a primary reason for entering into the agreement.

However, the document also states that for each subsequent Baya Bar outlet to be established, the developer will not receive any initial training related to each additional Baya Bar outlet. The developer waives all obligations by Baya Bar to provide any training to the developer contained in each Franchise Agreement, other than the initial Franchise Agreement executed concurrently with the agreement.
