What This Means (2025 FDD)
According to the 2025 Batteries Plus Bulbs FDD, Exhibit A and Alternative Exhibit A, which concern store location and protected area, are integral parts of the Franchise Agreement. Specifically, Exhibit A defines the store location and franchisee's protected area. If a specific location isn't initially determined, Batteries Plus Bulbs and the franchisee will complete Alternative Exhibit A to agree on a geographic area for the store, subject to the franchisor's approval, at least 150 days before the scheduled opening. Once Batteries Plus Bulbs approves a location within the Alternative Exhibit A area, both parties will update Exhibit A to identify the Protected Area.
Alternative Exhibit A also stipulates that the franchisee must select a location within the described geographical area at least 180 days before the scheduled opening date. To secure Batteries Plus Bulbs's approval, the franchisee must submit a complete site report. Batteries Plus Bulbs will then evaluate the proposed location based on factors like demographics, traffic, parking, neighborhood character, proximity to other businesses (including other Batteries Plus Bulbs stores), lease terms, and the premises' physical characteristics. Batteries Plus Bulbs will either accept or reject the proposed location in writing within 30 days of receiving the complete site report.
The FDD emphasizes that Batteries Plus Bulbs's acceptance of a location does not constitute a warranty or representation regarding its suitability. Furthermore, failure to obtain location approval at least 180 days before the scheduled opening gives Batteries Plus Bulbs the right to terminate the Franchise Agreement.
