What This Means (2025 FDD)

According to Batteries Plus Bulbs's 2025 Franchise Disclosure Document, the Protected Area, which defines the territory granted to a franchisee, is identified in Exhibit A to the Franchise Agreement. This exhibit specifies the location of the store and the boundaries of the Protected Area, which is generally the lesser of a 3-mile radius or an area encompassing 150,000 people around the store's location. If a site is not yet determined when the Franchise Agreement is signed, an Alternative Exhibit A is used initially, allowing the franchisee 150 days to find an acceptable location. Once a location is approved, Exhibit A is then signed to formally define the Protected Area.

For franchisees entering into a Multiple Unit Franchise Agreement, the designated geographic area for development, referred to as the "Designated Area", is also described in Exhibit A attached to the Multiple Unit Franchise Agreement. The size of the Designated Area depends on factors such as the number of stores planned, population density, and demographics of the desired operating area. This Designated Area may consist of one or more counties or cities in rural areas, or a portion of a metropolitan statistical area in more densely populated urban centers.

Batteries Plus Bulbs retains certain rights within both the Protected Area and the Designated Area. Except for limited rights regarding Qualified E-Commerce Transactions, Batteries Plus Bulbs reserves the right to sell under the Licensed Marks through dissimilar channels of distribution, including electronic means like the Internet. They also reserve the right to sell any products or services under trademarks other than the Licensed Marks through similar or dissimilar channels of distribution. This means that while franchisees have a Protected Area, Batteries Plus Bulbs can still operate online and through other channels within that area.
