During the term of the Franchise Agreement, can I use Basecamp Fitness's confidential materials in any way I choose?

We will be disclosing to you certain information we believe to be confidential or proprietary information and trade secrets. This will be included in our manuals, and in materials we may separately provide to you. You may use these materials, in the manner we approve, in the operation of your Basecamp Studio during the term of your Franchise Agreement. However, you may not use these materials in any other way for your own benefit, or communicate or disclose them to, or use them for the benefit of, any other person or entity. These materials include any trade secrets, knowledge or know-how, confidential information, advertising, marketing, designs, plans, or methods of operation. You may disclose this information to your Principal Operator, but only to the extent necessary to operate the Basecamp Studio, and then only while your Franchise Agreement is in effect.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, your use of confidential and proprietary information is restricted to the operation of your Basecamp Studio during the term of the Franchise Agreement. You are permitted to use these materials in the manner that Basecamp Fitness approves.
You are specifically prohibited from using these materials in any other way for your own benefit, or from communicating, disclosing, or using them for the benefit of any other person or entity. The confidential materials include trade secrets, knowledge, know-how, confidential information, advertising, marketing, designs, plans, or methods of operation.
You may disclose this information to your Principal Operator, but only to the extent necessary to operate the Basecamp Studio, and only while your Franchise Agreement is in effect. After the agreement ends, you must cease using all confidential information.
