Under a securitization financing transaction which closed in November 2021 (the "Securitization Transaction"), SEB and its affiliates were restructured. As part of the Securitization Transaction, our predecessor, BFLLC, transferred to us all existing U.S. franchise, area development and related agreements for Basecamp Fitness studios, and we became the franchisor of all existing and future franchise, area development and related agreements. Ownership and control of all U.S. trademarks and certain intellectual property relating to the operation of Basecamp Fitness studios in the U.S. were also transferred to us.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, the securitization financing transaction closed in November 2021. As part of this transaction, Basecamp Fitness, LLC (BFLLC), the predecessor, transferred all existing U.S. franchise, area development, and related agreements to Basecamp Fitness Franchisor LLC, making them the franchisor for all existing and future agreements. The ownership and control of all U.S. trademarks and certain intellectual property related to the operation of Basecamp Fitness studios in the U.S. were also transferred.
This securitization transaction also involved Anytime Fitness and The Bar Method. The agreements under which these franchises were operated were transferred to Anytime Fitness and The Bar Method Franchising as part of the Securitization Transaction in November 2021.
For a prospective franchisee, this means that the current franchise agreement they will sign is with Basecamp Fitness Franchisor LLC, which assumed the franchising responsibilities from BFLLC in November 2021. It is important to note that AFLLC entered into a management agreement with Basecamp Fitness to provide support and services to franchisees and also acts as their franchise sales agent. While AFLLC provides these services, Basecamp Fitness remains responsible for ensuring all promised services are performed in compliance with the franchise agreement.
