You will have the right to operate a single Basecamp Studio at a location we specify in your Franchise Agreement. We also offer qualified people the right to develop multiple Basecamp Studios within a specific territory under the terms of an Area Development Agreement ("Area Development Agreement"). If you sign an Area Development Agreement, you will sign a separate Franchise Agreement for each Basecamp Studio you develop under your Area Development Agreement. You will sign the Franchise Agreement when you sign the Area Development Agreement. The form of that agreement will be the form attached to this Disclosure Document. Later franchise agreements you sign will be in the form of agreement we use at the time you sign the agreement. The terms of those agreements may differ from the form attached to this Disclosure Document.
We retain the right, in our sole discretion, to choose to award or not to award a franchise to any prospective franchisee, and to cease discussions regarding the awarding of a franchise at any time, regardless of the stage of the franchise award process or the time and money spent by you or any other prospective franchisee.

On April 2, 2024 we became an indirect, wholly owned subsidiary of Purpose Brands Holdings, LLC ("Parent"). We are a direct wholly owned subsidiary of SEB Systems LLC ("Systems"). Systems is a direct wholly owned subsidiary of SEB Funding LLC ("Funding") which is a direct wholly owned subsidiary of SEB SPV Guarantor LLC ("Guarantor"). Guarantor is a direct wholly owned subsidiary of our manager Anytime Fitness, LLC ("AFLLC"). AFLLC is a wholly owned subsidiary of Self Esteem Brands, LLC ("SEB"). SEB is a direct wholly owned subsidiary of Purpose Brands Intermediate, LLC doing business as Purpose Brands and Purpose Brands, LLC which is a direct wholly owned subsidiary of Parent.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, a franchisee has the right to operate a single Basecamp Studio at a location specified by Basecamp Fitness in the Franchise Agreement. Basecamp Fitness also offers qualified individuals the opportunity to develop multiple Basecamp Studios within a specific territory through an Area Development Agreement. If an Area Development Agreement is signed, a separate Franchise Agreement is required for each Basecamp Studio developed. The Franchise Agreement is signed concurrently with the Area Development Agreement, and the initial form of the Franchise Agreement is attached to the disclosure document.
However, Basecamp Fitness retains the sole discretion to decide whether or not to award a franchise to any prospective franchisee and can cease discussions at any point during the process. The franchisee must construct and operate the Basecamp Studio according to Basecamp Fitness's standards and is limited to offering only the services and products authorized by Basecamp Fitness.
Specifically, the franchisee's Basecamp Studio must provide class-based workouts that meet Basecamp Fitness's standards, offer specified membership types, and sell required merchandise, including apparel, food, and beverage products. Basecamp Fitness reserves the right to add, modify, or delete any services or products that the franchisee must offer or sell, and can change and modify its standards at any time.
