Does Basecamp Fitness require written consent to the design of my Basecamp Fitness studio before construction can begin?

of our business and reputation. We will promulgate, from time to time, standards of quality and service regarding the business operations of Basecamp Fitness studios so as to protect the distinction and goodwill represented and symbolized by the Marks and System. You must abide by those standards and the provisions set forth below unless otherwise authorized by us in writing.

  • A. Construction. Your Basecamp Studio must be developed in accordance with applicable laws, regulations, codes and other governing requirements, as well as our mandatory specifications (the "Mandatory Specifications") that we provide to you, and with any Compliance Drawing. You may not begin construction of your Basecamp Studio until you have received our written consent to your actual design for your Basecamp Studio. You must supply us with accurate site information for your proposed location to allow us to create a Compliance Drawing for you. This information will include, but not be limited to, as-built drawings, surveys, technical data, construction documents and site plans.
    1. Promptly after you have obtained possession of the site for your Basecamp Studio, you will: (i) retain the services of a licensed and qualified architect and/or design professional(s) to create the Construction Documents, and to complete construction of your Basecamp Studio in accordance with such Construction Documents; (ii) retain the services of a general contractor; (iii) have prepared and submitted for our approval a site survey and basic architectural plans and specifications consistent with our Mandatory Specifications; (iv) purchase or lease, and then, in the construction of your Basecamp Studio, use only the building materials, equipment, fixtures, furniture and signs we have approved; (v) complete the construction and/or remodeling, equipment, fixtures, furniture and signage lease in decorating your Basecamp Studio in full and strict compliance with the plans and specifications we approve, and with all applicable ordinances, building codes and permit requirements without any alterations; (vi) obtain all customary contractors' sworn statements and partial and final waivers; and (vii) obtain all necessary permits, licenses and architectural seals and comply with applicable legal requirements relating to the building, signs, equipment and premises, including, but not limited to, the Americans With Disabilities Act.
    1. If you do not use our designated architectural vendor to create your Construction Documents, you must pay our then-current fee to review and approve your Construction Documents. Notwithstanding the foregoing, if this is your first Basecamp Studio, we may require you to obtain your Construction Documents from our designated architectural vendor.

According to Basecamp Fitness's 2025 Franchise Disclosure Document, franchisees must receive written consent from Basecamp Fitness regarding the design of their studio before starting construction. Franchisees are required to develop their Basecamp Fitness studio in accordance with all applicable laws, regulations, codes, and the franchisor's mandatory specifications, including any Compliance Drawing provided by Basecamp Fitness. To facilitate the creation of a Compliance Drawing, franchisees must supply accurate site information, such as as-built drawings, surveys, technical data, construction documents, and site plans, to Basecamp Fitness.

Before construction begins, Basecamp Fitness will provide a prototype floor plan and a list of required equipment, displays, fixtures, and furnishings. Franchisees are then responsible for adapting these prototype plans to their specific space while adhering to all local laws. Basecamp Fitness also creates a Compliance Drawing, which is a specific studio layout/design, for the franchisee's studio. Additional Compliance Drawings are available for a fee.

Franchisees must retain a licensed architect or design professional to create Construction Documents and complete the studio's construction. They must also use only approved building materials, equipment, fixtures, furniture, and signs. Any changes to the building plan, design, layout, decor, equipment, or signage require Basecamp Fitness's prior written consent and must not contradict the Mandatory Specifications.

If a franchisee chooses not to use Basecamp Fitness's designated architectural vendor for the Construction Documents, they must pay a nonrefundable fee of $2,700 for Basecamp Fitness to review the documents. Failure to adhere strictly to the approved plans and Mandatory Specifications may result in Basecamp Fitness withholding approval to open the studio, potentially leading to termination of the franchise agreement if the construction problems are not corrected within 30 days.
