Compliance with Our Standards.

You will operate your Basecamp Studio through strict adherence to any mandatory standards, specifications and policies of the System as they exist from time to time, in order to ensure compliance with the quality standards of the System.

You may offer and sell from your Basecamp Studio only those products and services that we approve.

You may not offer or sell at your Basecamp Studio or otherwise any products or services we have not approved nor may you offer or sell any products or services via a means or medium we have not approved, including via the Internet, live-streaming, or via an application, whether web-based or otherwise or a social media platform.

We have the right to change the products and services that we require you to offer from your Basecamp Studio at any time, without limitation.

You must offer the membership types that we designate and you may not create your own membership types or retain products for sale or distribution without our prior written approval.

You will at all times be responsible for the conduct of the day-to-day operation of your Basecamp Studio and for the terms of employment for your employees.

You acknowledge that the mandatory standards, specifications and policies we establish are not aimed at the day-to-day operation of your Basecamp Studio, which will solely be within your control, but are merely intended to preserve the goodwill of the System and Marks.

Periodically, as we deem appropriate, a representative of ours may visit your Basecamp Studio to ensure compliance with our required standards, specifications and procedures.

According to Basecamp Fitness's 2025 Franchise Disclosure Document, franchisees must operate their studios in strict adherence to the brand's mandatory standards, specifications, and policies. This is to ensure compliance with the quality standards of the Basecamp Fitness system. Basecamp Fitness may periodically send a representative to the franchisee's studio to ensure compliance with required standards, specifications, and procedures. These inspections may include audits or reviews to evaluate compliance with payments, standards, specifications, or procedures. If a studio fails an inspection, further inspections will be conducted until a passing score is achieved. Basecamp Fitness may charge a failed inspection fee for each failed inspection after the first. Additionally, Basecamp Fitness may provide suggestions and mandatory instructions to ensure compliance with quality standards and protect the brand's image.

The franchisee must develop their Basecamp Studio according to all applicable laws, regulations, codes, and the franchisor's mandatory specifications. They must also adhere to the franchisor's specifications for advertising and marketing materials, including the use of the "Basecamp Fitness" name and marks. The franchisee must obtain written approval for any advertising, written materials, products, or supplies, including technology platforms. Basecamp Fitness retains the right to modify or discontinue the use of any mark, and the franchisee must adopt any changes specified by Basecamp Fitness.
