2. TERM; RENEWAL RIGHTS

  • A. Initial Term. The term of this Agreement is for six (6) years commencing on the Effective Date of this Agreement, unless terminated earlier as provided in this Agreement.
  • B. Renewal. You have the right to renew your Basecamp Fitness franchise for the Franchised Location for an additional five (5) year term, provided you meet all of the following conditions:
    1. you have given us written notice at least two hundred ten (210) days prior to the end of the then current term of this Agreement of your desire to renew;
    1. you and all entities you are a member, partner or shareholder of, are in compliance with all agreements between you and us and between you and our affiliates, and there has been no series of defaults by you thereunder (i.e., an abnormal frequency of defaults or a default that has occurred repeatedly, or a combination thereof), whether or not such defaults were cured;
    1. you make, or provide for in a manner satisfactory to us, such renovation and reequipping of your Basecamp Studio as we dee

What This Means (2025 FDD)

According to Basecamp Fitness's 2025 Franchise Disclosure Document, a franchisee must pay the renewal fee at least fifteen (15) days before the initial franchise term expires to renew their franchise. The initial term for a Basecamp Fitness franchise agreement is six years. To renew for an additional five-year term, the franchisee must satisfy several conditions, including providing written notice of their intent to renew at least 210 days before the end of the current term.

In addition to the timely payment of the $5,000 renewal fee, the franchisee must be in compliance with all agreements with Basecamp Fitness and its affiliates, without a history of repeated defaults. The franchisee is also responsible for renovating and re-equipping their Basecamp Studio to meet the current standards of the Basecamp Fitness system. This may include updating signs, equipment, furnishings, fixtures, and decor.

Furthermore, the franchisee must sign the then-current standard Franchise Agreement within 30 days of receipt, which may contain different terms, including potentially higher fees and modifications to the protected territory. They must also provide evidence that they have the right to remain in possession of the franchised location for the renewal term. The franchisee's management staff must also complete any required refresher training at least 30 days before the expiration of the initial term. Finally, the franchisee must sign a general release of claims against Basecamp Fitness.
