What is the process for Basecamp Fitness to approve a franchisee's Construction Documents?

of our business and reputation. We will promulgate, from time to time, standards of quality and service regarding the business operations of Basecamp Fitness studios so as to protect the distinction and goodwill represented and symbolized by the Marks and System. You must abide by those standards and the provisions set forth below unless otherwise authorized by us in writing.
A. Construction. Your Basecamp Studio must be developed in accordance with applicable laws, regulations, codes and other governing requirements, as well as our mandatory specifications (the "Mandatory Specifications") that we provide to you, and with any Compliance Drawing. You may not begin construction of your Basecamp Studio until you have received our written consent to your actual design for your Basecamp Studio. You must supply us with accurate site information for your proposed location to allow us to create a Compliance Drawing for you. This information will include, but not be limited to, as-built drawings, surveys, technical data, construction documents and site plans.

- Promptly after you have obtained possession of the site for your Basecamp Studio, you will: (i) retain the services of a licensed and qualified architect and/or design professional(s) to create the Construction Documents, and to complete construction of your Basecamp Studio in accordance with such Construction Documents; (ii) retain the services of a general contractor; (iii) have prepared and submitted for our approval a site survey and basic architectural plans and specifications consistent with our Mandatory Specifications; (iv) purchase or lease, and then, in the construction of your Basecamp Studio, use only the building materials, equipment, fixtures, furniture and signs we have approved; (v) complete the construction and/or remodeling, equipment, fixtures, furniture and signage lease in decorating your Basecamp Studio in full and strict compliance with the plans and specifications we approve, and with all applicable ordinances, building codes and permit requirements without any alterations; (vi) obtain all customary contractors' sworn statements and partial and final waivers; and (vii) obtain all necessary permits, licenses and architectural seals and comply with applicable legal requirements relating to the building, signs, equipment and premises, including, but not limited to, the Americans With Disabilities Act.

- If you do not use our designated architectural vendor to create your Construction Documents, you must pay our then-current fee to review and approve your Construction Documents. Notwithstanding the foregoing, if this is your first Basecamp Studio, we may require you to obtain your Construction Documents from our designated architectural vendor.

- You will make no changes to any building plan, design, layout or decor, or any equipment or signage in your Basecamp Studio without our prior written consent, and such changes may not be contrary to the Mandatory Specifications.
B. Signs. You will prominently display, at your expense, both on the interior and exterior of your Basecamp Studio premises, signs in such form, color, number, location and size, and containing such Marks as we designate. We also may require you to use illuminated signs. You will obtain all permits and licenses required for such signs and will also be responsible for ensuring that all signs comply with all laws and ordinances. You will not display in or upon your Basecamp Studio premises any sign or advertising of any kind to which we object.
C. Services. You will conform to all quality and member and other customer service standards prescribed by us in writing.
D. Maintenance of Premises. You will paint and keep in an attractive, clean and sanitary condition the interior and exterior of your Basecamp Studio premises. All equipment will be kept in good working order and will meet our quality standards.

What This Means (2025 FDD)
According to the 2025 Basecamp Fitness Franchise Disclosure Document, before beginning construction of a Basecamp Studio, a franchisee must receive written consent from Basecamp Fitness regarding the studio's design. To facilitate this, the franchisee must supply accurate site information, including as-built drawings, surveys, technical data, construction documents, and site plans.
After obtaining possession of the site, the franchisee is required to hire a licensed architect or design professional to create Construction Documents and complete the studio's construction according to these documents. The franchisee must also hire a general contractor and submit a site survey along with basic architectural plans and specifications that align with Basecamp Fitness's Mandatory Specifications for approval. Only building materials, equipment, fixtures, furniture, and signs approved by Basecamp Fitness can be used in the construction.
Furthermore, the franchisee must complete construction and/or remodeling in strict compliance with the approved plans and specifications, adhering to all applicable ordinances, building codes, and permit requirements without any alterations. Customary contractors' sworn statements and partial and final waivers must be obtained, along with all necessary permits, licenses, and architectural seals to comply with legal requirements, including the Americans With Disabilities Act. If the franchisee chooses not to use Basecamp Fitness's designated architectural vendor, they must pay a fee for the review and approval of their Construction Documents. However, for a franchisee's first Basecamp Studio, using Basecamp Fitness's designated architectural vendor for the Construction Documents may be mandatory. No changes can be made to any building plan, design, layout, decor, equipment, or signage without Basecamp Fitness's prior written consent, and such changes must not contradict the Mandatory Specifications.
If a Basecamp Studio is not constructed according to the approved plans and Mandatory Specifications, Basecamp Fitness may withhold approval to open for business. In such cases, the franchisee has 30 days from the date of denial to correct the construction problems. Failure to rectify these issues within the given timeframe may result in immediate termination of the Franchise Agreement. The franchisee is responsible for any losses or costs associated with delays, and the Basecamp Studio cannot open until all problems are resolved to Basecamp Fitness's satisfaction. If the correction period extends past the Required Opening Date, that date becomes the deadline for resolving the issues.
