However, we and our affiliates can operate fitness studios/businesses, or grant others the right to do so, outside your protected territory, including studios operated under the Basecamp Fitness name or Marks, even if they compete for

members with your studio, and even if the territorial boundaries for that franchise overlap with the boundaries for your territory. We and our affiliates also have the right to operate, and to grant franchises or licenses to others to operate, any fitness studio/business and any other business from locations within this territory under trademarks other than "Basecamp Fitness", without compensation to you.

What This Means (2025 FDD)

According to Basecamp Fitness's 2025 Franchise Disclosure Document, Basecamp Fitness and its affiliates retain the right to operate fitness studios or other businesses under different trademarks within a franchisee's protected territory without providing any compensation to the franchisee. This means that while a franchisee is granted a protected territory for their Basecamp Fitness studio, this protection is limited to the Basecamp Fitness brand itself.

This has significant implications for prospective franchisees. Even though a franchisee has a protected territory for the Basecamp Fitness brand, Basecamp Fitness or its affiliates could introduce other fitness concepts or businesses under different brand names within that same territory. These other businesses could directly compete with the franchisee's Basecamp Fitness studio, potentially drawing away customers and revenue. The franchisee would not be entitled to any compensation as a result of this competition.

Furthermore, the FDD highlights that there may be existing or future Orangetheory, Anytime Fitness, and/or Bar Method locations (all affiliated brands) within a Basecamp Fitness franchisee's territory. While Basecamp Fitness will attempt to resolve conflicts between Basecamp Fitness franchisees and Anytime Fitness or Bar Method franchisees regarding territory or members, it has no obligation to resolve conflicts with Orangetheory franchisees.
