Is a new initial franchise fee required when transferring a Basecamp Fitness franchise?

According to Basecamp Fitness's 2025 Franchise Disclosure Document, a new initial franchise fee is not required when transferring a franchise. However, several conditions must be met for the transfer to proceed.

First, the franchisee must provide Basecamp Fitness with all necessary information regarding the proposed transaction and the potential transferee, including a copy of the purchase agreement and related documents. Second, Basecamp Fitness must be satisfied that the proposed transferee meets all the requirements for new franchisees. These requirements include a good reputation and character, sufficient business experience, and adequate financial strength, credit rating, and liquidity. Basecamp Fitness must also deem that the sale price is not excessive.

Additionally, the franchisee must sign a written agreement to observe all post-term obligations and covenants, releasing Basecamp Fitness from any claims. The proposed transferee must enter into a new franchise agreement with Basecamp Fitness based on the terms then offered to new franchisees. While no new initial franchise fee is required, the transferee is responsible for any necessary maintenance, remodeling, or re-equipping of the Basecamp Studio to meet Basecamp Fitness's current standards, including updates to technology and security equipment. The term of the new franchise agreement will be the remaining term of the original agreement, unless otherwise agreed upon.
