What materials might ProVision provide to Basecamp Fitness franchisees in connection with the Services?

In addition, in the event that ProVision's license to or right to distribute the Proprietary Software is terminated for any reason, any license granted to Customer for use of the Proprietary Software shall automatically terminate. ProVision shall provide Customer with written notice of such termination. ProVision will use good-faith efforts to procure a substitute license for similar software including, without limitation, web-based software, within a period of thirty (30) days after termination. However, ProVision makes no representation or warranty as to the continued availability of the Proprietary Software and will have no liability whatsoever to Customer in such a termination event.

Based on the 2025 Basecamp Fitness Franchise Disclosure Document, ProVision may provide proprietary software to franchisees as part of its services. If ProVision's license to distribute this software is terminated, the franchisee's license to use it will also automatically terminate.
In such a case, ProVision is expected to make a good-faith effort to find a substitute license for similar software, including web-based software, within 30 days of the termination. However, Basecamp Fitness does not guarantee the continued availability of the proprietary software and will not be liable to the franchisee if the software license is terminated.
This means that Basecamp Fitness franchisees rely on ProVision for certain services, including software. If ProVision loses its right to distribute the software, the franchisee's operations could be disrupted, and while ProVision will try to find a replacement, there is no guarantee that they will be successful. This creates a risk for the franchisee, as they may need to find and pay for alternative software solutions if the original software becomes unavailable.
