cipal Operator must attend and participate in any on-site visits by our representatives at your Basecamp Studio. You must participate in any business review calls we schedule.

- You will be solely responsible for all wages, travel, and living expenses, and all other costs incurred by you and your employees in connection with any training or instruction that we provide.

- You will obtain from your Principal Operator and your studio and fitness manager (and all other persons performing similar functions, regardless their title), a Confidentiality Agreement, enforceable by us, and in such form as we approve, in which they agree, among others, to maintain in confidence all confidential information and trade secrets we provide to them, and not to use any of the Names and Marks except in the performance of their duties in the Basecamp business.

- If you or any of your personnel teach a fitness class after the time you or your personnel are required to successfully complete the Coaches Training Course discussed above but before you or your personnel actually complete it, you must pay us, on demand, a fee of Two Thousand Dollars ($2,000), of which One Thousand Five Hundred Dollars ($1,500) will constitute the fee for us to perform a coach certification course. This fee will be in addition to any of our other rights and remedies and may be charged and the class required each time this occurs.
- M. Photographs. We will have the right to photograph and make video or digital recordings of your Basecamp Studio premises and your employees at all reasonable times.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, franchisees must ensure their Principal Operator and studio/fitness manager (and anyone in similar roles) sign a confidentiality agreement. This agreement, enforceable by Basecamp Fitness, requires these individuals to keep all confidential information and trade secrets provided by Basecamp Fitness strictly confidential.
Furthermore, these individuals are prohibited from using Basecamp Fitness's Names and Marks, except when performing their duties directly related to the Basecamp Fitness business. This measure is in place to protect Basecamp Fitness's proprietary information and brand identity.
Additionally, the franchisee acknowledges that all information concerning the Basecamp Fitness System, including concepts and methods of promotion, is derived from Basecamp Fitness and must be treated as confidential. The franchisee must not engage in or assist in the misappropriation, disclosure, or distribution of any part of the System or its promotional methods. Confidential information should only be disclosed to employees who need it to operate the Basecamp Studio and used solely for that purpose. Owners and managers must also sign confidentiality agreements, and owners must also sign non-compete agreements.
