If Basecamp Fitness modifies or discontinues a Mark, what am I required to do?

If we modify or discontinue use of any Mark, you will immediately cease using the Marks specified by us, and will, as soon as reasonably possible, commence using the new trademarks, trade names, service marks, logos, designs and commercial symbols designated by us in connection with all advertising, marketing and promotion of your Basecamp Studio.

We will have no liability or obligation whatsoever with respect to your modification or discontinuance of any Mark.

You will not make any changes or amendments in or to the use of the Marks or System unless directed by us in writing.

What This Means (2025 FDD)

According to Basecamp Fitness's 2025 Franchise Disclosure Document, if Basecamp Fitness modifies or discontinues the use of any Mark, franchisees must immediately stop using the specified Marks. Franchisees are then required to start using the new trademarks, trade names, service marks, logos, designs, and commercial symbols that Basecamp Fitness designates for advertising, marketing, and promotion of their Basecamp Studio as quickly as reasonably possible.

Basecamp Fitness assumes no responsibility or liability for any costs or obligations the franchisee incurs when modifying or discontinuing any Mark. Franchisees are not allowed to make any changes or amendments to the use of the Marks or System unless Basecamp Fitness directs them to do so in writing.

This means that as a Basecamp Fitness franchisee, you must be prepared to update all your studio's branding and marketing materials promptly at your own expense if Basecamp Fitness decides to change its Marks. This includes signage, advertising, and any other promotional items. Failure to comply with these directives could result in a breach of the franchise agreement.
