What This Means (2025 FDD)

According to Basecamp Fitness's 2025 Franchise Disclosure Document, Basecamp Fitness will not have any liability to the franchisee if they modify or discontinue the use of any Mark. The franchisee must immediately cease using the specified Marks and begin using any new trademarks, trade names, service marks, logos, designs, and commercial symbols designated by Basecamp Fitness in connection with all advertising, marketing, and promotion of their Basecamp Studio.

This means that if Basecamp Fitness decides to change its branding or discontinue a particular logo or name, the franchisee is obligated to comply with these changes at their own expense. They must update all their materials, signage, and advertising to reflect the new branding.

This clause protects Basecamp Fitness from potential legal or financial repercussions related to rebranding or trademark disputes. However, it places the burden of these changes squarely on the franchisee, who will bear the costs of updating their studio's branding. Prospective franchisees should consider these potential costs and the frequency with which Basecamp Fitness has updated its branding in the past when evaluating the franchise opportunity.
