If my conduct demeans the goodwill associated with the Basecamp Fitness Marks, what will happen?

According to Basecamp Fitness's 2025 Franchise Disclosure Document, if your conduct infringes upon or demeans the goodwill, standards of uniformity or quality, or business standing associated with the Marks or the System, you will immediately, upon written notice from Basecamp Fitness, modify your use of the Marks and the System in the manner prescribed by them in writing.

Furthermore, the franchise agreement states that you will not, during or after the term of the Agreement, do anything directly or indirectly which would disparage, infringe upon, harm, or contest Basecamp Fitness's rights in, the Marks or System. This means that any action that negatively impacts the brand's reputation or trademarks must be ceased immediately upon notification from Basecamp Fitness.

Additionally, Basecamp Fitness retains the right to protect and maintain all rights to the Marks against encroachment, misuse, or unauthorized use and against all challenges to any rights of its use, as it deems appropriate. This underscores the importance of adhering to the brand's standards and guidelines to avoid any actions that could be perceived as detrimental to the brand's image and goodwill. Franchisees should be aware that failure to comply with these requirements could lead to further action by Basecamp Fitness to protect its brand and trademarks.
