- D. You are entering into this Agreement because you want to develop and operate multiple Basecamp Fitness studios that use the Marks and the System. You recognize that while you will have certain limited rights to transfer your interest in this Agreement, and in the studios you develop, we are entering into this Agreement with you based on your representation that you intend to personally develop all of the studios described in this Agreement, and not with a view to reselling your right to open these studios.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, the franchisee represents that they are entering the agreement to develop and operate multiple Basecamp Fitness studios using the brand's marks and system. Basecamp Fitness is entering the agreement with the franchisee based on the representation that the franchisee intends to personally develop all of the studios outlined in the agreement, rather than reselling the rights to open the studios to someone else.
This representation is a key factor in Basecamp Fitness's decision to grant the development rights. It indicates that Basecamp Fitness is looking for franchisees who are committed to actively building and managing multiple locations, ensuring consistent brand standards and a vested interest in the success of the territory. This also suggests that Basecamp Fitness is not simply looking to sell development rights for a quick profit, but rather to establish a long-term partnership with dedicated operators.
This representation has significant implications for a prospective franchisee. It means that they cannot simply acquire the development rights and then flip them to another party. They are expected to be actively involved in the development and operation of the studios. If a franchisee's circumstances change and they are no longer able to fulfill this commitment, it could potentially lead to a breach of the agreement and possible termination of the development rights. Therefore, it is crucial for prospective franchisees to carefully consider their capacity and commitment to developing multiple Basecamp Fitness studios before entering into the agreement.
