What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, a franchisee signs the Franchise Agreement for their first Basecamp Fitness studio concurrently with the Development Agreement. The FDD specifies that a separate Franchise Agreement, based on the then-current form, must be signed for each Basecamp Fitness studio developed under the Development Agreement. Upon signing each Franchise Agreement, its terms and conditions will govern the establishment and operation of that specific Basecamp Fitness studio.
This means that the franchisee commits to opening multiple Basecamp Fitness studios according to a set schedule. The initial agreement establishes the framework for future studio openings, but each location requires its own Franchise Agreement. This is a common practice in area development franchise models, where franchisees commit to opening multiple units within a specific territory.
It is important to note that the Development Fee paid when signing the Development Agreement is specifically for the development rights and is not applied towards any Initial Franchise Fees for the individual Basecamp Fitness studios. The FDD also states that the form of the Franchise Agreement may change over time, potentially including different fees and obligations, although the franchisee will not be required to pay a new initial franchise fee for subsequent agreements.
