What This Means (2025 FDD)

According to the 2025 Basecamp Fitness Franchise Disclosure Document, a franchisee is required to reimburse Basecamp Fitness for liability arising from the franchisee's unauthorized use of the Marks. The Marks refer to trademarks, service marks, logos, and commercial symbols associated with the Basecamp Fitness brand.

This means that if a Basecamp Fitness franchisee uses the brand's trademarks or logos in a way that is not approved or authorized by the franchisor, and this unauthorized use leads to legal claims or liabilities against Basecamp Fitness, the franchisee will be responsible for covering those costs. This could include legal fees, settlements, or other expenses incurred by Basecamp Fitness as a result of the franchisee's misuse of the brand's intellectual property.

This provision protects Basecamp Fitness's brand identity and ensures that franchisees adhere to the approved guidelines for using the Marks. It also incentivizes franchisees to seek approval for all marketing and advertising materials to avoid potential legal issues and financial liabilities. Franchisees should carefully review and understand the brand standards outlined in the franchise agreement and operations manual to ensure compliance and avoid unauthorized use of the Marks.
