Is a Basecamp Fitness franchisee required to purchase a Build-Out Package from the franchisor?

As of the issuance date of this Disclosure Document, we have the following sole suppliers in our System:

- We or a third party, depending upon the item, are currently the sole suppliers of certain items logo'd with our Marks, including any branded mobile applications, all retail products for re-sale, workout formats that you must use at your Basecamp Studio and all fitness programming. You must purchase the Build-Out Package from us. Additional items you will need to operate that are included in the Build-Out Package must be purchased from certain third parties who are the sole suppliers for these items. These items include signage, marketing materials, furniture, and fixtures.

- ProVision, an affiliate of ours, is currently the sole supplier for certain fitness equipment, technology services, technology, network hardware, and security systems, including iPads, tablet devices, computers, lighting, audio and video systems, software and other related components including a point of sale system and certain cloud based technology included in the Technology & Fitness Equipment Package which you must purchase to operate your Basecamp Studio.

- We have a sole supplier of studio management, billing, payment and scheduling software which you must use to operate your Basecamp Studio.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, franchisees are required to purchase a Build-Out Package. The FDD specifies that franchisees must purchase the Build-Out Package directly from Basecamp Fitness. This package includes items logo'd with Basecamp Fitness's marks, such as branded mobile applications, retail products for resale, workout formats, and fitness programming. Additional items included in the Build-Out Package, such as signage, marketing materials, furniture, and fixtures, must be purchased from third-party sole suppliers designated by Basecamp Fitness.
In addition to the Build-Out Package, franchisees are also required to purchase a Technology & Fitness Equipment Package from ProVision, an affiliate of Basecamp Fitness. This package includes fitness equipment, technology services, technology, network hardware, and security systems, such as iPads, tablet devices, computers, lighting, audio and video systems, software, a point-of-sale system, and cloud-based technology. Franchisees must also use a sole supplier of studio management, billing, payment, and scheduling software designated by Basecamp Fitness.
These requirements mean that a significant portion of a new Basecamp Fitness franchisee's initial investment is directed toward mandatory purchases from the franchisor and its designated suppliers. While this ensures brand consistency and potentially streamlined procurement, it also limits the franchisee's ability to shop around for potentially lower prices or preferred vendors. Prospective franchisees should carefully consider the costs associated with these mandatory purchases and factor them into their overall financial projections.
