What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, a franchisee must enter into a separate Franchise Agreement with Basecamp Fitness for each studio they plan to operate. Specifically, the franchisee signs a Franchise Agreement for their first Basecamp Studio concurrently with the Development Agreement. For each subsequent Basecamp Studio, a separate Franchise Agreement, based on Basecamp Fitness's then-current form, must be signed.
This requirement ensures that each Basecamp Fitness studio operates under the specific terms and conditions outlined in its respective Franchise Agreement. Upon the execution of each Franchise Agreement, its terms and conditions will govern the establishment and operation of that particular Basecamp Studio. This allows Basecamp Fitness to maintain control over its brand standards and operational procedures across all franchised locations.
It's important to note that Basecamp Fitness may modify the form of the Franchise Agreement from time to time, potentially leading to different fees and obligations in subsequent agreements. However, the franchisee will not be required to pay an additional initial franchise fee for any studios developed under the Development Agreement. Each Franchise Agreement is construed and exists independently of the Development Agreement, with its continued existence determined by its own terms and conditions.
