What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, RCW 19.100.220 may impact the franchise agreement. Specifically, the Washington Addendum states that in the event of conflicting laws, the provisions of the Washington Franchise Investment Protection Act, chapter 19.100 RCW, will take precedence.
RCW 19.100.220(2) is not explicitly mentioned, but the FDD indicates that RCW 19.100.180 may supersede provisions in the franchise agreement or related agreements concerning the franchisee's relationship with Basecamp Fitness. This includes areas such as termination and renewal of the franchise.
This means that certain terms in the standard Basecamp Fitness franchise agreement could be unenforceable in Washington if they conflict with the rights provided to franchisees under Washington law. Prospective franchisees in Washington should carefully review the Washington Franchise Investment Protection Act to understand their rights regarding termination and renewal, and how those rights might differ from the standard terms of the Basecamp Fitness franchise agreement.
