What are the conditions that must be met before I can initially open my Basecamp Fitness studio for business?

You may not initially open your Basecamp Studio for business until: (1) we notify you in writing that all of your pre-opening obligations have been fulfilled and we have approved your opening date; (2) the initial training program and any other trainings that must be completed by you or your personnel before opening must be completed to our satisfaction; (3) all amounts due to us and our affiliates have been paid; (4) we have been furnished with copies of all insurance policies and certificates required by this Agreement, or other documentation of insurance coverage and payment of premiums that we request; (5) you notify us that all approvals and conditions in this Agreement have been met; (6) you have received all required permits and licenses; (7) you have met or exceed the minimum number of qualifying presold memberships (also referred to as founding members) that we have set for you based on your market density and other factors, not to exceed 150; and (8) you have ordered, received and installed all equipment, supplies, inventory and computer systems that we require.
Unless otherwise agreed in writing by us, you must open your Basecamp Studio on the Required Opening Date, but in no event more than twelve (12) months from the Effective Date. Notwithstanding the foregoing, if you are entering into this Agreement pursuant to the terms of an Area Development Agreement executed between you and us, you will open your Basecamp Studio on or before the date set forth in the "Development Schedule" (as defined in the Area Development Agreement). Your failure to open your Basecamp Studio on or before the Required Opening Date will constitute a default of this Agreement and allow us to terminate this Agreement.

What This Means (2025 FDD)
According to Basecamp Fitness's 2025 Franchise Disclosure Document, there are several conditions you must meet before you can open your studio. Basecamp Fitness must provide written notification that all pre-opening obligations have been fulfilled and the opening date has been approved. You and your personnel must complete the initial training program and any other required training programs to Basecamp Fitness's satisfaction. All payments due to Basecamp Fitness and its affiliates must be paid.
You must furnish copies of all required insurance policies and certificates or other requested documentation of insurance coverage and premium payments. You need to notify Basecamp Fitness that all approvals and conditions in the Franchise Agreement have been met and you must have received all required permits and licenses. You must also meet or exceed the minimum number of qualifying presold memberships, also known as founding members, that Basecamp Fitness sets for you based on your market density and other factors, but this number will not exceed 150.
Finally, you must order, receive, and install all required equipment, supplies, inventory, and computer systems. Unless Basecamp Fitness agrees otherwise in writing, you must open your Basecamp Studio on the Required Opening Date, but no more than twelve months from the Effective Date of the agreement. If you are entering the agreement under an Area Development Agreement, you must open the Basecamp Studio by the date in the Development Schedule. Failure to open on time constitutes a default of the agreement and allows Basecamp Fitness to terminate the agreement.
