WHEREAS, Franchisee desires to obtain the non-exclusive license and right to use the System in the development and operation of one Shop from a single fixed location within a designated territory and pursuant to the terms of this Agreement.

NOW THEREFORE, in consideration of the foregoing recitals and other good and valuable consideration, the receipt and sufficiency of which is hereby mutually acknowledged, the parties do hereby agree, as follows:

The franchisee may face competition from other Bang Cookies Shops and other System franchisees, including shops within Closed Markets or adjacent to the franchisee's location. The franchisee will not receive compensation if Bang Cookies or another franchisee solicits customers from within the franchisee's Designated Territory. Bang Cookies may prohibit the franchisee from soliciting customers outside their Designated Territory.

Upon termination of the Franchise Agreement, the franchisee must cease operating as a Bang Cookies franchise, stop using the System, including confidential information and licensed marks, and return all confidential materials and property to Bang Cookies. These stipulations highlight the importance of understanding the scope and limitations of the rights granted to a franchisee and the obligations upon termination of the agreement.
