What This Means (2024 FDD)
According to Bang Cookies's 2024 Franchise Disclosure Document, as a franchisee, your use of Confidential Information is explicitly restricted to the operation of your Bang Cookies shop. This means you can only use this information to manage and run your franchise. The Confidential Information includes trade secrets, methods, standards, techniques, procedures, data, and information related to the Bang Cookies business. It also covers consumer preferences, supplier information, customer lists, sales data, and the contents of the operations manual.
The franchise agreement states that you cannot use the Confidential Information for any purpose other than operating your Bang Cookies franchise. This restriction applies both during the term of the agreement and after it expires or terminates. You are also obligated to maintain the confidentiality of the information at all times, prevent unauthorized copies, and take reasonable steps to prevent unauthorized use or disclosure. If requested by Bang Cookies, you must immediately stop using the Confidential Information.
This is a standard practice in franchising to protect the brand's proprietary information and maintain a competitive advantage. The restrictions ensure that franchisees do not use sensitive information to benefit other businesses or compete unfairly with the franchisor. Prospective franchisees should carefully review the definition of Confidential Information and understand the limitations on its use to avoid potential breaches of the franchise agreement.
