What This Means (2024 FDD)

According to Bang Cookies's 2024 Franchise Disclosure Document, a franchisee may face competition from outlets that Bang Cookies owns. Specifically, the FDD states that a Bang Cookies franchisee will not receive an exclusive territory. This means that other franchisees, outlets that Bang Cookies owns, or other channels of distribution or competitive brands that Bang Cookies controls could provide competition. However, Bang Cookies states that during the term of the Franchise Agreement, provided that the franchisee is not in default, Bang Cookies will not establish or open, nor grant another franchisee the right to establish or open a Bang Cookies Shop at a Shop Location within the franchisee's Designated Territory.

Bang Cookies and its affiliates retain exclusive rights to engage in various activities without compensating the franchisee. These "Reserved Rights" include operating and franchising shops outside the franchisee's Designated Territory or Development Area, irrespective of proximity. They can also affiliate with other businesses, even those offering similar products, and operate them under different trademarks within the franchisee's territory.

Furthermore, Bang Cookies reserves the right to use the Licensed Marks and System to distribute the Approved Services and Products through alternative channels of distribution including wholesale, retail, and/or internet based, supermarkets, grocery stores, wholesale stores, internet/web based sales, and other outlets, within or outside the Designated Territory. They can also operate shops within captive market locations like malls, airports, and schools, both within and outside the franchisee's Designated Territory. These reserved rights allow Bang Cookies to pursue various business opportunities without being restricted by individual franchise territories, potentially creating competition for franchisees.
