What This Means (2024 FDD)
According to Bang Cookies's 2024 Franchise Disclosure Document, the effectiveness of each provision within the state-specific amendments is contingent upon meeting the jurisdictional requirements of the relevant state law, independent of the amendment itself. This condition applies to amendments made for Hawaii, Minnesota, and North Dakota.
For instance, in Hawaii, the amendment clarifies that the Hawaii Franchise Investment Law takes precedence if any provision in the franchise agreement is inconsistent with it. Similarly, in Minnesota, any acknowledgments made by the franchisee do not act as a waiver of liability under the Minnesota Franchise Act. In North Dakota, several articles of the franchise agreement are amended to reflect the unenforceability of certain provisions that conflict with North Dakota law, such as those requiring franchisees to sign a general release upon renewal, consent to termination or liquidated damages, or adhere to covenants not to compete.
This means that a Bang Cookies franchisee needs to be aware of the specific franchise laws in their state and how they interact with the franchise agreement. The amendments are designed to ensure that franchisees' rights under state laws are protected, but their actual effect depends on whether the jurisdictional requirements of those laws are met in each specific case. Franchisees should consult with legal counsel to fully understand their rights and obligations under both the franchise agreement and applicable state laws.
