(k) Franchisee engages in any activity that injures, harms, damages, or otherwise has a material adverse effect on Franchisor, the System, the Licensed Marks, Bang Cookies Shops, Franchisee's Shop, and/or the reputation of the Bang Cookies brand;
(f) As to information, records, statements, and/or data that Franchisee must maintain and/or report to Franchisor pursuant to the terms of this Agreement, the operations manual, or as otherwise requested by Franchisor from time to time, the information, records, statements, and/or data maintained by Franchisee and/or reported by Franchisee contains intentional inaccuracies and/or material inaccuracies that are either misleading or false;
(g) Franchisee attempts to Transfer, or purportedly attempts to Transfer, this Agreement or any of Franchisee's rights under this Agreement, without Franchisor's prior approval, written consent, and/or otherwise not in accordance with this Agreement;
(i) Franchisee discloses, divulges, provides access to, communicates, and/or permits the communication of the contents, data and/or information contained in the operations manual to any third party not otherwise authorized by Franchisor;
(j) Franchisee discloses, divulges, provides access to, communicates, and/or permits the communication of Confidential Information to any third party not otherwise authorized by Franchisor;
(k) Franchisee engages in any activity that injures, harms, damages, or otherwise has a material adverse effect on Franchisor, the System, the Licensed Marks, Bang Cookies Shops, Franchisee's Shop, and/or the reputation of the Bang Cookies brand;
6. Breach. You agree that failure to comply with the terms of this Agreement will cause irreparable harm to us and to our franchisor Bang Cookies Franchise LLC, and other Bang Cookies franchisees for which there is no adequate remedy at law. Therefore, you agree that any violation of these covenants will entitle us or our Franchisor Bang Cookies Franchise LLC to injunctive relief. You agree that we and/or our Franchisor Bang Cookies Franchise LLC may apply for such injunctive relief, without bond, but upon due notice, in addition to such further and other relief as may be available at equity or law, and the sole remedy of yours, in the event of the entry of such injunction, will be the dissolution of such injunction, if warranted, upon hearing duly held (all claims for damages by reason of the wrongful issuance of any such injunction being expressly waived hereby). If a court requires the filing of a bond notwithstanding the preceding sentence, you agree that the amount of the bond shall not exceed $1,000. None of the remedies available to us under this Article are exclusive of any other, but may be combined with others under this Agreement, or at law or in equity, including injunctive relief, specific performance and recovery of monetary damages.

According to Bang Cookies' 2024 Franchise Disclosure Document, several activities could harm the Bang Cookies brand. These include engaging in any action that negatively impacts the franchisor, the Bang Cookies system, the licensed marks, individual Bang Cookies shops, or the overall reputation of the brand. Dishonest or unethical conduct that embarrasses Bang Cookies can also be detrimental.
Other actions that can harm the Bang Cookies brand include failing to maintain accurate records, attempting to transfer the franchise without approval, divulging confidential information or the contents of the operations manual to unauthorized parties, or failing to notify Bang Cookies of any known breach of the Confidentiality Agreement. Franchisees must also complete the required training programs to the franchisor's satisfaction.
Engaging in unfair competition, such as owning an interest in a competitive business (more than 3% in a publicly traded company), diverting customers, or violating non-compete obligations, is prohibited during the term of the agreement. If a franchisee fails to comply with the terms of the agreement, Bang Cookies can seek injunctive relief, meaning a court order to stop the harmful activity. Bang Cookies can pursue this relief without needing to post a bond, though if a bond is required, it will not exceed $1,000. These remedies are in addition to any other legal or equitable actions Bang Cookies might take, including seeking monetary damages.
