What This Means (2024 FDD)

According to Bang Cookies' 2024 Franchise Disclosure Document, Confidential Information includes data regarding consumer preferences. Specifically, it encompasses information concerning consumer preferences for services, products, materials, and supplies used or sold by Bang Cookies Shops. This means that as a franchisee, you would be obligated to protect the confidentiality of any data related to what customers like or dislike about Bang Cookies' offerings.

This obligation extends not only to the specific products Bang Cookies sells, such as cookies, but also to the materials and supplies used to create those products. For example, if Bang Cookies identifies a specific type of chocolate that is more popular with customers, that information would be considered confidential. Franchisees must maintain the confidentiality of this information both during the term of the franchise agreement and after its expiration or termination.

The inclusion of consumer preference data within the definition of Confidential Information is a standard practice in franchising. It allows Bang Cookies to maintain a competitive advantage by preventing franchisees from sharing valuable customer insights with competitors. This also enables Bang Cookies to refine its offerings and marketing strategies based on actual customer feedback, ensuring consistency and quality across all franchise locations.

As a prospective franchisee, it is crucial to understand the scope of what Bang Cookies considers confidential and the measures you must take to protect this information. Failure to comply with these confidentiality obligations could result in legal action or termination of the franchise agreement. Therefore, carefully review the confidentiality agreement and seek legal counsel to ensure you fully understand your responsibilities.
