What This Means (2024 FDD)
According to Bang Cookies' 2024 Franchise Disclosure Document, confidentiality obligations extend beyond the franchisee to other parties. Specifically, the franchisee's owners and spouses are bound by these obligations and must execute and deliver a Franchise Owner and Spouse Agreement and Guaranty to the franchisor. This ensures that those closely related to the franchisee are also legally responsible for maintaining the confidentiality of sensitive business information.
Additionally, the confidentiality obligations apply to the franchisee's directors, officers, employees, and agents. However, this is conditional: the disclosure of confidential information to these individuals must be necessary for the operation of the franchised business. Furthermore, each director, officer, employee, and agent must have previously executed and delivered a Confidentiality Agreement to Bang Cookies. This two-step requirement ensures that only those who need access to confidential information are granted it, and that they are individually bound by a legal agreement to protect it.
This multi-layered approach to confidentiality is common in franchising to protect the brand's proprietary information. By requiring agreements from owners, spouses, directors, officers, employees, and agents, Bang Cookies aims to minimize the risk of information leaks and maintain a competitive advantage. Prospective franchisees should carefully review the forms of the Franchise Owner and Spouse Agreement and Guaranty and the Confidentiality Agreement to understand the full scope of these obligations and ensure compliance.
