What This Means (2024 FDD)

According to Bang Cookies's 2024 Franchise Disclosure Document, franchisees are explicitly restricted from using confidential information in any business or capacity other than the operation of their Bang Cookies shop. This restriction applies both during the term of the franchise agreement and after its expiration or termination. The FDD emphasizes that franchisees must maintain the confidentiality of the information at all times and take reasonable steps to prevent unauthorized use or disclosure.

This stringent protection of confidential information is a standard practice in franchising. It ensures that the knowledge, systems, and trade secrets that make Bang Cookies unique are not used to benefit competitors or for any purpose outside of the franchise system. The definition of "Confidential Information" is broad, encompassing trade secrets, methods, standards, customer data, operating manuals, and know-how, further reinforcing the importance of keeping this information secure.

Franchisees must also ensure that their owners, spouses, directors, officers, employees, and agents comply with these confidentiality obligations. These individuals may be required to sign a confidentiality agreement, reinforcing the comprehensive nature of these restrictions. Upon termination of the franchise agreement, franchisees must immediately cease using the confidential information and return all related materials to Bang Cookies.

These restrictions are designed to protect Bang Cookies's competitive advantage and maintain the integrity of its brand. Prospective franchisees should carefully consider these obligations and ensure they are prepared to fully comply with them, as failure to do so could result in legal action or termination of the franchise agreement.
