What This Means (2025 FDD)

According to the 2025 Bananas Smoothies Frozen Yogurt FDD, franchisees waive any objections to the jurisdiction or venue of specified courts for litigation. Specifically, the franchisee waives any objection to the laying of jurisdiction or venue of any litigation arising from the Franchise Agreement brought by the franchisor in Federal Court in the United States District State Court, Newark vicinage, or in State Court by the franchisor in either Morris County, Essex County, or Union County in New Jersey. If litigation is brought by the franchisee or any owner in the State Court, it must be instituted, maintained, and concluded only in Morris County, New Jersey.

This waiver means that a Bananas Smoothies Frozen Yogurt franchisee agrees to have any legal disputes with the franchisor settled in the specified courts in New Jersey, regardless of where the franchisee's business is located. This could increase costs for the franchisee if they need to travel to New Jersey for court proceedings. The franchisee also waives any claim that these courts are an inconvenient forum, meaning they cannot argue that a different location would be more suitable for the case.

This is a significant point for potential franchisees to consider, as it limits their legal options and could create a disadvantage in case of a dispute with Bananas Smoothies Frozen Yogurt. Franchisees should seek legal counsel to fully understand the implications of waiving these rights and how it might affect them in the future.
