What This Means (2025 FDD)
According to the 2025 FDD, Bananas Smoothies Frozen Yogurt franchisees, referred to as 'Confidants,' are required to maintain the confidentiality of the System. This means they must not disclose any part of the System to any person, entity, firm, or corporation.
The System encompasses a wide range of elements critical to the Bananas Smoothies Frozen Yogurt business model. These include accounting programs, identification schemes, specifications, standards, management systems, recipes, menus, techniques, financial information like product costs and supply sources, and overall business operations and procedures. Bananas Smoothies Frozen Yogurt considers all these elements as trade secrets and proprietary information belonging to the franchisor or its affiliates.
The FDD emphasizes that if unauthorized parties were to access and use the System, it would provide them with a substantial competitive advantage over Bananas Smoothies Frozen Yogurt. This underscores the importance of maintaining confidentiality to protect the brand's competitive edge and the integrity of its operations. Franchisees must understand that this obligation extends to all aspects of the business, from the recipes used to the financial management practices implemented.
