- (e) Confidants shall cause any person who is actively involved in the management of the Restaurant at the time of employment, to enter into a Confidentiality and Non-Competition Agreement" in the form recommended from time to time by Franchisor.
Confidants shall use its best efforts to prevent any such person from using, in connection with the operation of any restaurant (other than the franchised restaurant and any other franchised restaurants operated by Confidants) wherever located, the System and any of the Franchisor Marks, or from operating any restaurant that looks like, copies or imitates any franchised restaurant, or is operated in a manner tending to have such effect.
If Confidants has reason to believe that any such person has violated the provisions of such Confidentiality and Non-Competition Agreement, Confidants shall notify Franchisor and shall cooperate with Franchisor to protect Franchisor against infringement or other unlawful use of the Franchisor Marks or the System, including but not limited to the prosecution of any lawsuits if, in the judgment of counsel for Franchisor, such action is necessary or advisable.
