Under the Bambu Franchise Agreement, what rights does a franchisee receive?

("Marks"). As a franchisee, you will receive the right to use our Marks and Bambū system to operate your shoppe at a location you select, and we approve ("Franchised Location").
Bambū shoppes are usually located in leased space in shopping malls, strip malls, standalone facilities, or alternative venues with our approval. Bambū shoppes are typically between 1,000 and 1,500 square feet. Shoppes have standardized menus, featuring our drinks, many of which are made with fresh ingredients prepared daily. The drinks are all prepared using our proprietary recipes, methods and procedures. The drinks are ordered and picked up by guests at the counter for in-store consumption or takeout, or delivered through various third-party app services. Shoppes also offer catering programs.
If you qualify, we may grant you the right to enter into a Multi-Unit Development Agreement ("MUD Agreement") to develop an agreed upon number of Bambū shoppes within a specific geographic territory according to a development schedule ("Development Schedule"). The form of MUD Agreement you will sign is attached as Exhibit B to this Disclosure Document. Your obligation to develop and operate franchises may be satisfied by you or by an entity owned by you or your owners ("Approved Affiliate"). For each Bambū shoppe developed under the MUD Agreement, you will sign a separate franchise agreement, which may be different than the form of Franchise Agreement attached to this Disclosure Document.

What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, as a franchisee, you are granted the right to use Bambu's Marks and Bambū system. This allows you to operate your Bambū shoppe at a location that you select, subject to Bambu's approval. The Bambu system includes the brand's distinctive recipes, ingredients, business format, systems, methods, procedures, workout designs, layouts, advertising, and operational standards and specifications. This means you'll be able to leverage Bambu's established brand and operational guidelines to run your franchise.

Furthermore, if you meet the qualifications, Bambu may grant you the right to enter into a Multi-Unit Development Agreement (MUD Agreement). This agreement allows you to develop an agreed-upon number of Bambu shoppes within a specific geographic territory, following a predetermined development schedule. For each Bambu shoppe developed under the MUD Agreement, you will sign a separate franchise agreement, which may differ from the standard Franchise Agreement. Your obligations under the MUD Agreement can be fulfilled either by you or by an entity owned by you or your owners, referred to as an Approved Affiliate.
