Franchisee acknowledges that Bambu owns and controls the distinctive plan for the establishment, operation and promotion of the Bambū shoppe and all related Bambū system of doing business, previously defined as the "Bambū system", which include, but are not limited to, Bambu's standards and specifications for the franchised site, premises, leasehold improvements, interior finish, equipment, supplies, materials, inventory type and control, technical equipment standards, order fulfillment methods, customer relations, marketing techniques, written promotional materials, advertising, accounting systems, drink and food item preparation information, menu items, food preparation methods and any applicable food handler requirements and safety standards, all of which constitute confidential trade secrets of Bambu.

Franchisee acknowledges that Bambu has valuable rights in and to such trade secrets.

Franchisee further acknowledges that it has not acquired any right, title or interest in the Bambū system except for the right to use the Bambū system in the operation of the Bambū shoppe as it is governed by this Agreement and that it is obligated to maintain the confidentiality of the Bambū system in accordance with Section 21.3 below.

As a franchisee, you acknowledge that Bambu owns and controls this system and that your rights are limited to using it within the scope of the franchise agreement. You do not acquire any ownership of the Bambu system itself. You're obligated to maintain the confidentiality of the Bambu system. You must use the Marks and Bambu system to operate all aspects of the business franchised, in accordance with the methods and systems developed and prescribed by Bambu.

Bambu retains the right to modify the Bambu system, and franchisees are obligated to adapt to these changes at their own expense. Franchisees cannot unilaterally alter the system without prior written consent from Bambu, and any improvements made to the system by a franchisee become the property of Bambu. This ensures uniformity and quality control across all franchise locations, but it also means franchisees have limited autonomy to innovate independently.

Bambu offers ongoing support and updates to the Bambu system through various means, including advertising materials, consultation, seminars, and information updates. This support aims to keep franchisees informed about new methods, equipment, products, and improvements to menu items. Franchisees are responsible for the successful operation of their Bambu shoppe and must comply with the franchise agreement and related materials.
