What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, the document includes addenda for Rhode Island, Virginia, Hawaii, and New York, indicating specific legal considerations or modifications for those states. Additionally, the document mentions that filings have been made under the Franchise Investment Law of Hawaii. For New York, the document states that the franchisor may negotiate terms but cannot offer terms less favorable than those in the FDD. These addenda suggest that Bambu is registered to offer franchises in these states, with specific legal stipulations in place.
However, the document also states that if a state is not listed, Bambu has not appointed an agent for service of process in that state related to franchise laws. This implies that Bambu may not be actively offering franchises in states where they have not registered or appointed an agent for service of process. Exhibit K of the FDD, as referenced in the document, contains a list of state agencies and agents for service of process, which would provide further clarity on where Bambu is registered.
Therefore, for a prospective franchisee, it is crucial to check Exhibit K to identify the states in which Bambu is actively registered and has appointed an agent for service of process. If a state is not listed in Exhibit K, it suggests that Bambu is not currently offering franchises in that state. To confirm this, a prospective franchisee should directly ask Bambu which states the franchise is currently approved to operate in and whether they plan to register in additional states in the near future. This information is vital for understanding the geographic scope of the franchise opportunity and ensuring compliance with state franchise laws.
