What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, the date on the signature page of the General Release determines the scope of claims being released. The General Release is effective as of the date indicated on the signature page. This date is important because it defines the period for which the franchisee is releasing Bambu from potential claims. Specifically, the franchisee is releasing Bambu from any and all claims from the beginning of time until the date of the General Release.
This means that by signing the General Release, a Bambu franchisee agrees to waive any rights to sue Bambu for issues that have occurred up to that specific date. This includes any disputes, known or unknown, related to the franchise agreement, any related agreements, or the franchise relationship itself. The release covers a broad range of potential claims, including those related to the franchisee's relationship or transactions with Bambu and its affiliates.
In practical terms, a prospective Bambu franchisee should carefully consider the implications of signing such a release. It is crucial to understand that once the release is signed, any claims arising from events before that date are waived. If a franchisee is considering transferring their franchise agreement, ownership, or entering into a successor agreement, they should be aware that signing the release is often a condition for Bambu's consent to these actions. Franchisees should seek legal counsel to fully understand the rights they are relinquishing when signing the General Release, especially concerning any existing or potential disputes with Bambu.
