If Bambu Franchising LLC ("Bambu") offers you a franchise, it must provide this Disclosure Document to you 14 calendar days before you sign a binding agreement with, or make a payment to, the franchisor, or an affiliate, in connection with the proposed franchise sale.
New York requires that we give you this Disclosure Document at the earlier of the first personal meeting or 10 business days before the execution of the franchise or other agreement or the payment of any consideration that relates to the franchise relationship.
Michigan requires that we give you this Disclosure Document at least 10 business days before the execution of any binding franchise or other agreement or the payment of any consideration, whichever occurs first.
Iowa requires that we give you this Disclosure Document at the earlier of the first personal meeting or 14 calendar days before the execution of the franchise or other agreement or the payment of any consideration, whichever occurs first.

What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, franchisees are required to sign a Nondisclosure and Noncompetition Agreement. Bambu also reserves the right to require the franchisee's officers, directors, partners, shareholders, members, managers, employees with access to confidential information, and their immediate family members to sign a similar agreement. If Bambu requires an immediate family member to sign this agreement after the franchisee has signed the Franchise Agreement, the franchisee must try their best to get the family member to sign it. The franchisee must provide Bambu with a copy of each Nondisclosure and Noncompetition Agreement signed by these individuals.
The 2025 Bambu FDD includes a copy of the Nondisclosure and Noncompetition Agreement as Exhibit C. This agreement outlines the obligations of the franchisee and related parties to protect Bambu's confidential information and to refrain from competing with Bambu, which is a fairly standard practice in franchising to protect the brand's proprietary information and market position.
The Nondisclosure and Noncompetition Agreement states that Bambu has developed methods for operating shoppes featuring Vietnamese dessert drinks, coffee drinks, blended yogurts, Asian-inspired teas, and smoothies. Bambu and its affiliates have developed proprietary methods for establishing, operating, and promoting Bambu shoppes utilizing certain confidential information. This agreement is made between Bambu Franchising LLC, the franchisee, and the associate of the franchisee.
