What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, the Associate's agreement serves to protect Bambu's confidential information and prevent unfair competition. The agreement ensures that individuals affiliated with a Bambu franchisee, such as officers, partners, directors, managers, agents, employees, or independent contractors, do not disclose confidential information related to Bambu's operations or compete with Bambu or its franchisees. This is crucial because these individuals gain access to sensitive information about the Bambu system and its shoppes.
The agreement specifically addresses the use and disclosure of confidential information, stating that associates acknowledge that Bambu or the franchisee will disclose confidential information necessary for the operation of a Bambū shoppe. The associate agrees not to use this information for personal benefit during or after their affiliation with the franchisee or Bambu, nor disclose it to any third party without prior written consent from Bambu. This includes proprietary information concerning Bambū shoppes, the Bambū system, business formats, plans, methods, recipes, designs, layouts, operating procedures, financial information, marketing methods, and other trade secrets.
Furthermore, the Associate's agreement includes a noncompetition covenant that restricts associates from having a direct or indirect controlling interest in a competitive business, performing services for a competitive business, or diverting business or employees from Bambu or its franchisees to a competitive business during their affiliation. This provision aims to prevent associates from using their knowledge of the Bambu system to benefit a competing business. Bambu also reserves the right to require franchisees to ensure that their officers, directors, partners, shareholders, members, managers, employees, and their immediate family members who have access to confidential information sign a Nondisclosure and Noncompetition Agreement.
Bambu emphasizes the importance of protecting its confidential information, stating that unauthorized disclosure would cause irreparable harm. The agreement also outlines remedies for breaches, including the possibility of injunctive relief. This legal protection is typical in franchising to maintain brand standards, protect trade secrets, and ensure a level playing field among franchisees. The agreement is designed to protect Bambu's interests by preventing those with access to sensitive information from using it to compete against the franchise system.
