What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, if Bambu objects to any reference to Bambu, its affiliates, or its business in a franchisee's offering literature or prospectus, the franchisee cannot use the literature or prospectus until Bambu withdraws its objections. This condition ensures that Bambu maintains control over how its brand and business are represented in any franchisee-related materials, especially those used for investment or securities offerings.
This provision is significant for prospective Bambu franchisees because it restricts their ability to raise capital or promote their franchise using materials that Bambu has not approved. If a franchisee seeks to attract investors or secure funding through an offering, they must ensure that all references to Bambu comply with the franchisor's standards and receive explicit approval. Failure to obtain this approval can halt the offering process until the objections are resolved.
Furthermore, the FDD clarifies that franchisees cannot engage in a public offering of securities without Bambu's prior written consent, which Bambu may withhold at its discretion. This stipulation provides Bambu with broad authority over the franchisee's financial activities and ensures that the franchisor has ultimate control over any public representation of the Bambu brand in financial contexts. This level of control is not uncommon in franchising, as franchisors seek to protect their brand reputation and ensure consistent messaging across all franchisee operations and communications.
