What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, the entire agreement between Bambu and the franchisee consists of the Franchise Agreement, including all attachments and addenda. The document explicitly states that this agreement supersedes any prior agreements related to the subject matter. This means that any discussions, promises, or agreements made before signing the Franchise Agreement are not legally binding unless they are included within the agreement itself or its attachments.
Bambu emphasizes that franchisees should not rely on any verbal representations or commitments made before the execution of the agreement. Bambu will not be held liable for claims of misrepresentation, whether negligent or fraudulent, based on such verbal communications. The only representations that Bambu authorizes and will be bound by are those explicitly stated in the Franchise Agreement and the most recent Franchise Disclosure Document (FDD) provided to the franchisee.
Furthermore, Bambu clarifies that no representations have been made regarding projected sales volumes, market potential, revenues, or profits of the franchisee's Bambu location, or any operational assistance, unless these are specifically stated in the Franchise Agreement and the most recent FDD. This underscores the importance of carefully reviewing the Franchise Agreement and the FDD to understand the full scope of the agreement and the franchisee's responsibilities and expectations. Any potential franchisee should seek legal counsel to review these documents before signing.
